TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTEX INNOVATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use our Services
• Any conduct or content of third parties on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO OUR SERVICES EXCEED THE AMOUNT YOU PAID TO VERTEX INNOVATIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

WE DO NOT WARRANT THAT:

15. Dispute Resolution

Informal Resolution: Before filing a formal claim, you agree to contact us and attempt to resolve any dispute informally. We will attempt to resolve the dispute informally by contacting you through email or other means. If the dispute is not resolved within sixty (60) days of submission, you or Vertex Innovations may bring a formal proceeding.

Arbitration Agreement: You and Vertex Innovations agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Arbitration Procedures: The arbitration shall be conducted in accordance with the rules of the Croatian Chamber of Economy. The arbitration shall be conducted in the English or Croatian language. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class action, consolidated action, or representative action.

Exceptions: Notwithstanding the above, either party may bring a claim in small claims court if the claim qualifies for small claims court in the jurisdiction where you reside.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on our Services, constitute the entire agreement between you and Vertex Innovations regarding your use of our Services.

Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Force Majeure: We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Third-Party Rights: These Terms do not confer any third-party beneficiary rights.

Language: These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
